ArrHub Subscriber Terms

1. Parties and acceptance
1.1 These terms form an agreement between Dalimer Outsourcing Inc., doing business as ArrHub, 83 West St-Paul Street, Montreal, Quebec H2Y 1Z1, Canada (NEQ 1176062009) ("ArrHub"), and the person or organisation that subscribes (the "Subscriber").
1.2 The Subscriber accepts these terms by checking the acceptance box at purchase, by signing an order form that refers to them, or by paying an invoice that refers to them. A person accepting on behalf of an organisation confirms authority to bind it. These terms take effect between the parties on the date the initial fees are paid, which is also the date of their acceptance (the "Effective Date").
1.3 Language. The French version of these terms is presented first. The parties agree that in the event of any conflict or discrepancy, the French version prevails if the subscriber is located in Quebec, Canada, otherwise, the English version prevails, unless ArrHub is otherwise instructed in writing by the Subscriber prior to the payment of the initial subscription or its renewal, as the case may be.
2. Definitions
- Content: the issues, documents, tables, charts, videos, data files and text ArrHub makes available through the Service, including its selection, arrangement and verification of Records.
- Current Issue: an issue before its release date to the Archive.
- Archive: issues after their release date, and documents published on arrhub.com.
- Named User: an individual identified by the Subscriber to receive the Service under a seat.
- Records: entries in public registers, such as FDA and Health Canada databases, that ArrHub transcribes and links.
- Service: ArrHub Alerts and any related access ArrHub provides under these terms.
- Subscription Term: the paid period stated at purchase, twelve months unless stated and agreed otherwise by the parties.
3. The Service
3.1 ArrHub publishes one issue each week, normally on Tuesday. Seven days after an issue is sent to Subscribers, its finding, counts, tables and sources become part of the free Archive. Its context sections, its charts, tables and data as downloadable files, and subscriber features such as the watchlist remain available to Subscribers only.
3.2 Each issue reports Records as they stood on the dates stated in it, verified against the source register under the method published at arrhub.com/method. A week in which no qualifying Record appears is reported as such, and that issue counts as an issue.
3.3 ArrHub may change the format, design, delivery time or supporting features of the Service. It will not reduce the substance of the weekly issue during a paid Subscription Term.
3.4 ArrHub does not assess patent scope, validity or infringement, does not predict regulatory or commercial outcomes for any named company or pending application, and does not provide regulatory, legal, medical or investment advice. The Subscriber remains responsible for its decisions and for verifying any Record against its source before relying on it.
4. Fees, taxes and renewal
4.1 Fees are stated at purchase and are payable in advance for the Subscription Term, in United States dollars unless stated otherwise.
4.2 Fees are exclusive of applicable taxes, which are added to the invoice.
4.3 Payment is by card through ArrHub's payment processor, or by invoice payable by EFT or wire within fifteen (15) days.
4.4 Renewal. The Subscription Term renews for successive twelve-month terms at ArrHub's then-current price, with notice of the renewal price at least 30 days before renewal; the Subscriber may cancel renewal at any time before the renewal date, and cancellation takes effect at the end of the current term.
4.5 Despite section 4.4, for a founding Subscriber whose subscription renews without interruption, the price of the United States and Canada edition increases by no more than 3% at each renewal, rounded to the nearest dollar. Other editions and features are priced separately.
5. Publication commitment
5.1 ArrHub will publish the weekly issue throughout each paid Subscription Term.
5.2 If ArrHub stops publishing the weekly issue before the end of a paid term, the Subscriber is entitled, at its option, to a refund of the fees for the unused part of the term, calculated pro rata by day, or to conversion of that amount into credit toward an ArrHub report.
5.3 ArrHub stops publishing the weekly issue within the meaning of section 5.2 when no issue is published for four consecutive weeks, other than because of events described in section 14.
6. Licence
6.1 ArrHub grants the Subscriber a non-exclusive, non-transferable licence, for the Subscription Term, for its Named Users to access and use the Content for the Subscriber's internal business purposes. The number of Named Users is the number of seats purchased.
6.2 A Named User may read, download and print the Content, and may quote reasonable extracts in the Subscriber's internal documents, with the source line retained and the attribution "Source: ArrHub" or, as applicable, "Source: ArrHub and its licensors".
6.3 Except as Schedule B permits, the Subscriber may not:
- share a Current Issue, or its Content, outside the Subscriber's organisation before its release date;
- share login credentials or add readers beyond its Named Users;
- republish, resell, sublicense or redistribute the Content;
- extract the Content systematically, by scraping or otherwise, or use it to train or build a machine-learning model;
- use the Content to build a product or service that competes with ArrHub;
- remove or alter source lines, dates or notices.
6.4 Anyone may read and forward the Archive, subject to the notices it carries. Context sections, downloadable files and subscriber features are licensed to Subscribers only.
7. Ownership
7.1 The Content is made available by ArrHub and its licensors under licence. All rights not expressly granted in these terms are reserved.
7.2 The Records themselves are public. The Content's selection, arrangement, verification, text, tables, charts and videos are protected.
7.3 Suggestions or feedback the Subscriber gives ArrHub may be used without restriction or payment.
8. Accuracy and corrections
8.1 ArrHub verifies each Record against its source register as at the date stated. Registers can contain errors and can change after that date.
8.2 ArrHub publishes every correction at arrhub.com/corrections, with its date and what changed.
8.3 If a Record in the Content differs from its source register as it stood on the date stated, because of ArrHub's transcription or verification, the Subscriber's sole remedy and ArrHub's sole liability is a published correction and a credit of one month's fees for each issue affected, up to the fees paid for the term.
9. Warranties and disclaimers
9.1 ArrHub warrants that it will provide the Service with reasonable care and in accordance with its published method.
9.2 EXCEPT FOR THE EXPRESS WARRANTY IN SECTION 9.1 AND THE REMEDY IN SECTION 8.3, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND THE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND ARRHUB AND ITS LICENSORS DISCLAIM ALL OTHER WARRANTIES, REPRESENTATIONS AND CONDITIONS, WHETHER EXPRESS, IMPLIED, LEGAL OR STATUTORY, INCLUDING ANY LEGAL WARRANTY AND ANY WARRANTY OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY OR NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
9.3 WITHOUT LIMITING SECTION 9.2, ARRHUB DOES NOT WARRANT THAT ANY REGISTER, RECORD OR CONTENT IS ACCURATE, COMPLETE OR CURRENT, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE CONTENT WILL PRODUCE ANY REGULATORY, COMMERCIAL OR OTHER RESULT.
10. Limitation of liability
10.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ARRHUB AND OF ITS LICENSORS, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES AND CONTRACTORS, FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS, THE SERVICE OR THE CONTENT, WHETHER IN CONTRACT, IN EXTRACONTRACTUAL LIABILITY OR TORT, IN NEGLIGENCE, WITHOUT FAULT OR OTHERWISE, IS LIMITED TO THE FEES THE SUBSCRIBER PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM.
10.2 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARRHUB OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR OPPORTUNITY, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 THE LIMITATIONS AND EXCLUSIONS IN SECTIONS 8.3, 9 AND 10 APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN THE PARTIES, AND THE FEES REFLECT THEM.
10.4 NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW, INCLUDING LIABILITY FOR BODILY OR MORAL INJURY CAUSED TO ANOTHER, OR FOR MATERIAL INJURY CAUSED THROUGH AN INTENTIONAL OR GROSS FAULT.
10.5 THE SUBSCRIBER ACKNOWLEDGES THAT IT HAS READ AND UNDERSTOOD SECTIONS 9 AND 10, WHICH HAVE BEEN EXPRESSLY BROUGHT TO ITS ATTENTION.
11. Term and termination
11.1 These terms apply for the Subscription Term and each renewal.
11.2 Either party may terminate for a material breach not remedied within 30 days after written notice.
11.3 On termination, access to the Current Issue, to subscriber-only content and to subscriber features ends; the free Archive remains public. Fees are not refundable, except (a) as section 5 provides; (b) where the Subscriber terminates under section 11.2 for ArrHub's breach, in which case ArrHub refunds the fees for the unused part of the term, calculated pro rata by day; or (c) as the law requires.
11.4 The Subscriber expressly waives the right to resiliate these terms unilaterally under articles 2125 et seq. of the Civil Code of Québec. These terms may be terminated only as section 11.2 provides, and renewal may be cancelled only as section 4.4 provides.
12. Privacy
12.1 ArrHub handles personal information under its privacy policy at arrhub.com/legal/privacy, in accordance with the mandatory privacy laws that apply.
12.2 The Privacy Officer of ArrHub is the person in charge of the protection of personal information, and can be reached at privacy@arrhub.com.
13. Changes to these terms
ArrHub may amend these terms by notice at least 30 days before the change takes effect. A change does not apply to a paid Subscription Term already in progress unless the Subscriber agrees, or the change is required by law.
14. Events beyond control
Neither party is liable for delay or failure caused by events beyond its reasonable control, including the unavailability of a source register. ArrHub will resume the Service as soon as practicable.
15. Governing law and forum
These terms are governed by the laws of Quebec and the federal laws of Canada that apply there, to the exclusion of their conflict-of-laws rules, and the courts of the judicial district of Montreal have jurisdiction.
16. General
16.1 Notices to ArrHub go to alerts@arrhub.com; notices to the Subscriber go to the email address on its account.
16.2 These terms, with any order form and Schedule, are the entire agreement on their subject.
16.3 ArrHub may assign these terms to an affiliate or to a successor to its business; the Subscriber may not assign without ArrHub's written consent.
16.4 If a provision is invalid, the rest remains in force. A failure to enforce a provision is not a waiver.
